Terms of Service
The terms that apply when your business uses OneOffice, including acceptable use.
Who these terms cover
These Terms of Service form an agreement between OneOffice Solutions Corporation ("we", "us") and the business that signs up for OneOffice ("you", the "customer"). By creating an account or using the service you accept these terms on behalf of your business. If you do not have authority to bind your business, do not use the service.
Accounts
You are responsible for the accounts you create for your staff, for keeping log-in details secure and for all activity under your accounts. Tell us promptly if you believe an account has been used without permission.
You must give accurate business details and keep them up to date.
Acceptable use
You must not use OneOffice to: break any law or regulation; send spam or unsolicited messages; upload malware or attempt to disrupt or probe the service; access accounts or data you are not authorised to access; infringe anyone's rights; or resell the service without our written agreement.
We may suspend access that puts the service, other customers or the public at risk. Where reasonable, we will tell you first and give you a chance to fix the problem.
Your data
You own the data you and your staff put into OneOffice ("customer data"). You grant us a limited right to host, process and back up customer data only to provide, secure and support the service for you.
You are responsible for having a lawful basis to collect and process the personal data you store in OneOffice, including under the Data Privacy Act of 2012.
We process customer data on your instructions and do not sell it. You can export your data while your subscription is active and for 30 days after the agreement ends.
Subscriptions
The modules, number of users and billing terms for your subscription are set out in the quote or order form we agree with you. We issue invoices as required by Philippine tax rules.
Payments through third parties
Payments you take from your own customers through OneOffice (for example payment links, checkout or event tickets) are processed by third-party payment processors such as Maya, and card networks such as Visa and Mastercard. Those providers' own terms apply to those payments, and they, not we, hold and settle the funds. We are not responsible for a processor's decisions, fees, holds or outages.
Availability and support
We work to keep OneOffice available and secure, and to fix faults promptly. Planned maintenance is scheduled to limit disruption. Any specific service levels apply only if they are written in your order form.
Intellectual property
We own OneOffice, its software, design and documentation. These terms give you a non-exclusive, non-transferable right to use the service for your business during your subscription. Feedback you give us may be used to improve the service without obligation to you.
Confidentiality
Each party will keep the other's non-public business information confidential, use it only for the purpose of this agreement and protect it with reasonable care. This does not apply to information that is public, already known, independently developed or required to be disclosed by law.
Disclaimer
Except as written in these terms or your order form, the service is provided "as is" and "as available". To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. You remain responsible for your own tax, payroll and regulatory filings, even where OneOffice helps you prepare or track them.
Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data. Each party's total liability under these terms is limited to the fees you paid us for the service in the twelve months before the claim. These limits do not apply to your payment obligations, a breach of the acceptable use rules, or liability that cannot be limited by law.
Term and termination
These terms apply for as long as you use the service. Either party may end the agreement at the end of a subscription term with notice as set out in the order form, or at any time if the other party materially breaches these terms and does not fix the breach within 30 days of written notice.
When the agreement ends, your access stops. You may request an export of your data for 30 days after the agreement ends. After that, we delete or anonymise customer data within a reasonable period, unless the law requires us to keep it.
Governing law
These terms are governed by the laws of the Republic of the Philippines. The courts of the Philippines have exclusive jurisdiction over any dispute arising from them.
Changes to these terms
We may update these terms. If a change materially affects you, we will tell you in advance by email or in the app. Continuing to use the service after the change takes effect means you accept it.
